THIS LOAN AGREEMENT (“Loan Agreement”) is made and entered into as of [date], by and between TRUST COMPANY, AS THE TRUSTEE FOR THE MADISON SQUARE FEDERAL SAVINGS BANK EMPLOYEE STOCK OWNERSHIP PLAN TRUST (“Borrower”), a trust forming part of the Madison Square Federal Savings Bank Employee Stock Ownership Plan (“ESOP”), and MADISON BANCORP, INC. (“Lender”), a corporation organized and existing under the laws of Maryland.

THIS AGREEMENT (this “Agreement”) is entered into and effective this 21st day of April, 2008 (the “Effective Date”), by and between Madison Square Federal Savings Bank (the “Bank”) and Ronald Ballard (the “Employee”). The Bank and the Employee are each sometimes referred to herein as a “Party” and are collectively sometimes referred to herein as the “Parties”.
