THIS POST-PETITION LOAN AND SECURITY AGREEMENT (this “Agreement”) is made on June 8, 2010, by and among GARLOCK SEALING TECHNOLOGIES LLC, a North Carolina limited liability company and a Chapter 11 debtor-in-possession (“Garlock Sealing”); GARRISON LITIGATION MANAGEMENT GROUP, LTD., a North Carolina corporation and a Chapter 11 debtor-in-possession (“Garrison”; Garlock Sealing and Garrison are each individually referred to herein as a “Borrower” and collectively as “Borrowers”); and BANK OF AMERICA, N.A., a national banking association (together with its successors and permitted assigns, “Lender”).
