REVOLVING CREDIT AND TERM LOAN AGREEMENT (this “Agreement”), dated as of May 17, 2010, among MEDICAL PROPERTIES TRUST, INC., a Maryland corporation (“Holdings”), MPT OPERATING PARTNERSHIP, L.P., a Delaware limited partnership (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), KEYBANK NATIONAL ASSOCIATION, as syndication agent for the Revolving Facility (in such capacity, the “Revolver Syndication Agent”), ROYAL BANK OF CANADA, as syndication agent for the Term Facility (in such capacity, the “Term Loan Syndication Agent”) and JPMORGAN CHASE BANK, N.A., as administrative agent.
