The Offered ADSs are to be issued pursuant to that certain deposit agreement dated as of November 2, 1999 (the “Deposit Agreement”), among the Company, The Bank of New York Mellon (formerly, “The Bank of New York”), as depositary (the “Depositary”), and the holders and beneficial owners from time to time of ADSs issued thereunder. Each ADS will initially represent the right to receive twenty Ordinary Shares deposited pursuant to the Deposit Agreement.
