THIS ESCROW AGREEMENT (this “Agreement”) made and entered into as of this ______ day of ____________, 2010 by and among CM Securities, LLC a Nevada limited liability company (the “Dealer Manager”), CM REIT, Inc., a Maryland Corporation (the “Company”), UMB Bank, N.A., as escrow agent, a national banking association organized and existing under the laws of the United States of America (the “Escrow Agent”) and DST Systems, Inc., a Massachusetts corporation (the “Transfer Agent”). This Agreement shall be effective as of the effective date of the Company’s registration statement filed with the Securities and Exchange Commission containing the Prospectus (hereinafter defined) (the “Effective Date”).
