The following memorandum of understanding is entered into by and between Pinnacle Entertainment, Inc. (“Pinnacle”) and RSUI Indemnity Company (“RSUI”). The “Effective Date” of this agreement is February 3, 2010. Pinnacle and RSUI each hereby agree as follows:

This THIRD AMENDED AND RESTATED CREDIT AGREEMENT, dated as of February 5, 2010, among PINNACLE ENTERTAINMENT, INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement, as Lenders, BANC OF AMERICA SECURITIES LLC and JPMORGAN SECURITIES INC., as joint lead arrangers and joint book runners (in such capacities, the “Arrangers”), BANK OF AMERICA, N.A., JPMORGAN CHASE BANK, N.A., CALYON NEW YORK BRANCH, DEUTSCHE BANK TRUST COMPANY AMERICAS and UBS SECURITIES LLC, as Syndication Agents (in such capacities, the “Syndication Agents”), CAPITAL ONE NATIONAL ASSOCIATION, as Documentation Agent (in such capacity, the “Documentation Agent”), and BARCLAYS BANK PLC (“Barclays”), as administrative agent (in such capacity, the “Administrative Agent”, it being understood and agreed that any successor administrative agent appointed pursuant to Section 9.9 hereof shall be the “Administrative Agent”).
