THIS PLEDGE AGREEMENT, dated as of December 31, 2009 (as amended, restated, supplemented or modified from time to time, the “Agreement”), is given, made and entered into by RICHARD M. OSBORNE, AS TRUSTEE OF THE RICHARD M. OSBORNE TRUST AKA THE RICHARD M. OSBORNE TRUST AGREEMENT DATED JANUARY 13, 1995, AS AMENDED (the “Pledgor”), as the pledgor of the equity interests in the corporation described on Schedule A hereto (the “Company”), and THE HUNTINGTON NATIONAL BANK (the “Lender”), in connection with that certain Credit Agreement (as defined below).
