THIS GLOBAL AMENDMENT AGREEMENT (this “Global Amendment”) is dated 29 September 2009 and made among each of the undersigned (collectively the “Parties ”).

This AMENDMENT (this “Amendment”), dated as of January 11, 2010 (the “Effective Date”), is entered into by and among QUIKSILVER AMERICAS, INC., a California corporation (the “Borrower”); QUIKSILVER, INC., a Delaware corporation (the “Parent”); each lender from time to time a party hereto (collectively, the “Lenders” and individually, a “Lender”) and RHÔNE GROUP L.L.C., as administrative agent (the “Administrative Agent”) under that certain Credit Agreement dated as of July 31, 2009 (as otherwise amended, amended and restated, supplemented or otherwise modified from time to time, the “Credit Agreement”) among the Borrower, the Parent, the Lenders and the Administrative Agent. Capitalized terms used herein not otherwise defined herein or otherwise amended hereby shall have the meanings ascribed thereto in the Credit Agreement.

This AMENDMENT (this “Amendment”), dated as of January 11, 2010 (the “Effective Date”), is entered into by and among MOUNTAIN & WAVE S.à R.L., a Luxembourg private limited liability company (the “Borrower”); QUIKSILVER, INC., a Delaware corporation (the “Parent”); each lender from time to time a party hereto (collectively, the “Lenders” and individually, a “Lender”) and RHÔNE GROUP L.L.C., as administrative agent (the “Administrative Agent”) under that certain Credit Agreement dated as of July 31, 2009 (as otherwise amended, amended and restated, supplemented or otherwise modified from time to time, the “Euro Credit Agreement”) among the Borrower, the Parent, the Lenders and the Administrative Agent. Capitalized terms used herein not otherwise defined herein or otherwise amended hereby shall have the meanings ascribed thereto in the Euro Credit Agreement.

Pursuant to the terms of the Issuance and Reimbursement Agreement dated as of 14 September, 2007 (as such may be amended, varied, novated or supplemented, the “Issuance and Reimbursement Agreement”) between the Depositor and JP Morgan Europe, and of the Application and Agreement for Irrevocable Standby Letter of Credit between the Depositor and the Bank dated September 2007 (as such may be amended, varied, novated or supplemented, the “Application and Agreement”), JP Morgan Europe agreed to issue a bank guarantee in the amount of EUR 35.6 million and the Depositor agreed to reimburse the Bank and JP Morgan Europe for any sum which may become payable by either of them in accordance with the terms of such bank guarantee.
