THIS SETTLEMENT AGREEMENT AND AMENDMENT TO LICENSE AGREEMENT (“Agreement”) is entered into as of this 24th day of November, 2009 (“Effective Date”) by and between QLT INC., a Canadian corporation formerly known as QLT Therapeutics, Inc. (“QLT”), and THE GENERAL HOSPITAL CORPORATION, d/b/a Massachusetts General Hospital, a Massachusetts non-profit corporation (“MGH”).
