This Registration Rights Agreement (this “Agreement”) is made and entered into as of June 16, 2009, by and among Graphic Packaging International, Inc., a Delaware corporation (the “Company”), Graphic Packaging Corporation, Graphic Packaging Holding Company Bluegrass Container Canada Holdings, LLC, Bluegrass Flexible Packaging Company, LLC, Bluegrass Labels Company, LLC, Bluegrass Multiwall Bag Company, LLC, Field Container Queretaro (USA), LLC,Handschy Holdings, LLC, Handschy Industries, LLC, Riverdale Industries, LLC (collectively, the “Guarantors”), and Banc of America Securities LLC, as a representative of the several initial purchasers listed on Schedule A to the Purchase Agreement (the “Initial Purchasers”), each of whom has agreed to purchase the Company’s 9.50% Senior Notes due 2017 (the “Notes”) fully and unconditionally guaranteed by the Guarantor (the “Guarantees”) pursuant to the Purchase Agreement (as defined below).
