It is agreed that AP Exhaust Products, Inc., will be the exclusive supplier of exhaust products to Monro Service Corporation for a period of 72 months commencing February 1, 2007. Monro will be free of any default requirement contained in the Supply Agreement after January 31, 2013. If the performance of AP Exhaust Products, Inc. as the exclusive exhaust supplier to Monro Service Corporation, declines so much as to force Monro to change suppliers for this program, Monro would be released in full from the default provisions of the Supply Agreement.

THIS AGREEMENT OF PURCHASE AND SALE (“Agreement”) is made as of March 14, 2008 (“Agreement Date”), between MONRO MUFFLER BRAKE, INC., a New York corporation, having an address at 200 Holleder Parkway, Rochester, NY 14615 (“Buyer”), and (i) BSA II LLC, a New York limited liability company, with an address at 200 Holleder Parkway, Rochester, New York 14615; (ii) CJA I LLC, a New York limited liability company, with an address at 72 Canfield Road, Pittsford, New York 14534; (iii) Lane Dworkin Properties, LLC, a New York limited liability company, with an address at 415 Park Avenue, Rochester, New York 14607; (iv) AA&L II LLC, a New York limited liability company, with an address at 200 Holleder Parkway, Rochester, New York 14615; (v) Seven Cousins of Rochester, LLC, a New York limited liability company, with an address of 200 Holleder Parkway, Rochester, New York 14615; (vi) Forus Properties LLC, a New York limited liability company, with an address of 415 Park Avenue, Rochester, New York

Please accept this letter as Monro Muffler Brake, Inc.’s official notification of our intent to renew said lease agreement for the first five-year renewal period commencing on December 19, 2009 and expiring December 18, 2014. The rent for said renewal period shall be $11,193.66 per month.
