THIS FIRST AMENDMENT TO MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Amendment”) is made as of September 12, 2007 by and between W2007/ACEP HOLDINGS, LLC, a Delaware limited liability company (“Buyer”) and AMERICAN ENTERTAINMENT PROPERTIES CORP., a Delaware corporation (“Seller”).
