THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of ,2007 (the “Signing Date”), between Maxcom Telecomunicaciones, S.A.B. de C.V., a public stock corporation with variable capital (sociedad anónima bursátil de capital variable) organized under the United Mexican States (the “Company”), the Primary Demand Rights Holders and each of the Investors listed on the signature pages hereto.

DEPOSIT AGREEMENT dated as of ___, 2007, among MAXCOM TELECOMUNICACIONES, S.A. DE C.V., a variable capital corporation (sociedad anónima de capital variable) incorporated under the laws of the United Mexican States (herein called the Company), THE BANK OF NEW YORK, a New York banking corporation (herein called the Depositary), and all Owners and Holders from time to time of American Depositary Shares issued hereunder.
