This AGREEMENT AND PLAN OF MERGER (the “Agreement”), made as of February 2, 2007, by and among Stillwater National Bank and Trust Company (“SNB”), a national bank with its main office in Stillwater, Oklahoma; Southwest Bancorp, Inc. (“Southwest”), a corporation organized and existing under the laws of the state of Oklahoma and parent financial holding company of SNB; Bank of Kansas (“KBank”), a commercial bank organized under the laws of the state of Kansas with its main office in South Hutchinson, Kansas; and Hart Food Stores Inc. (“HFS”), a corporation organized and existing under the laws of the state of Kansas and parent bank holding company of KBank.
