THIS PURCHASE AGREEMENT is made and entered into as of May 25, 2006, among Montpelier Re Holdings Ltd., a Bermuda company (the “Company”), WLR Recovery Fund II, L.P. and WLR Recovery Fund III, L.P. (each, a “Purchaser” and collectively, the “Purchasers”).
