AGREEMENT AND PLAN OF MERGER (“Agreement”), dated as of April 2, 2006, by and among Service Corporation International, a Texas corporation (“Parent”), Coronado Acquisition Corporation, a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), and Alderwoods Group, Inc., a Delaware corporation (the “Company”).
