This FIRST AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT OF AVALON LLC (this “Agreement”), is entered into as of November 5, 1999 by Charter Communications Holding Company, LLC, a Delaware limited liability company (“Member”) as the sole member of Avalon Cable LLC, a Delaware limited liability company (the “Company”), as a complete amendment and restatement of Limited Liability Agreement of the Company dated March 26, 1999.
