This Exclusive Distribution and License Agreement (this “Agreement”) is effective as of the 1st day of June, 2002, (the “Effective Date”) by and between Regeneration Technologies, Inc., a Florida corporation (“RTI”), and Medtronic Sofamor Danek USA, Inc., a Tennessee corporation (“MSD”). RTI and MSD are sometimes individually referred to herein as a “Party” and collectively as the “Parties.”
