THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of December 20, 2013, is made by and between Pattern Canada Operations Holdings ULC, a Nova Scotia unlimited liability company (“Purchaser”), and Pattern Energy Group LP, a Delaware limited partnership (“Seller”).
