THIS EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into as of the 9th day of May, 2005, between Talk America Holdings, Inc., a Delaware corporation (“Company”), and Thomas Walsh (“Employee”), and amends and supercedes that certain Employment Agreement dated August 7, 2000, as amended, among Talk.com Inc. and Thomas Walsh.
