This Separation Agreement (“Agreement”), by and between GSE Systems, Inc., a Delaware corporation (“GSE Systems” or the “Company”) and Christopher D. Sorrells (“Executive”), is entered on the last date of execution set forth below. The Company and Executive may be referred to individually as a “Party” and, collectively, as the “Parties”. All capitalized terms used but not defined herein shall have the meaning ascribed to them in the Employment Agreement (as defined below).
