THIS CREDIT AND SECURITY AGREEMENT (the "Agreement") is made as of the 29th day of December, 2016, by and between (a) GSE SYSTEMS, INC., a Delaware corporation ("Parent"), and (b) GSE PERFORMANCE SOLUTIONS, INC., a Delaware corporation ("GSE Performance" and jointly and severally with Parent, the "Borrower"), and CITIZENS BANK, NATIONAL ASSOCIATION ("Bank").
