Reference is made to the Employment Agreement dated as of July 1, 1991, between you and Sony Retail Entertainment (the "Company"), a division of Sony Corporation of America ("SCA"), as amended by the Letter Agreement dated as of July 1, 1994 and as further amended by the Letter Agreement dated October 4, 1996 (as amended, the "Agreement"). All capitalized terms used herein without definition shall have the meanings ascribed to them in the Agreement. Pursuant to the Agreement, your areas of responsibility include supervision of the world wide movie theater exhibition business of SCA and its subsidiaries. It is contemplated that LTM Holdings Inc.
