BioMed Realty Trust, Inc., a Maryland corporation (the “Company”), and BioMed Realty, L.P., a Maryland limited partnership (the “Operating Partnership” and together with the Company, the “Transaction Entities”), each confirms its agreement with Raymond James & Associates, Inc. (“Raymond James”), KeyBanc Capital Markets Inc. (“KeyBanc”), Morgan Stanley & Co. Incorporated (“Morgan Stanley”), UBS Securities LLC (“UBS”), Wachovia Capital Markets, LLC (“Wachovia”) and Credit Suisse Securities (USA) LLC (“Credit Suisse”) and each of the other underwriters named in Schedule I hereto (the “Underwriters”) for whom Raymond James, KeyBanc, Morgan Stanley, UBS, Wachovia and Credit Suisse are acting as representatives (the “Representatives”) with respect to the issuance and sale by the Company and the purchase by the Underwriters, acting severally and not jointly, of 16,000,000 shares (the “Firm Securities”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”), and with res
