This License Agreement (this “Agreement”), executed as of October 20, 2006 (the “Effective Date”), between ADVENTRX Pharmaceuticals, Inc., a Delaware corporation, through its wholly-owned subsidiary SD Pharmaceuticals, Inc., Delaware corporation (“ADVENTRX”), and Theragenex, LLC., a North Carolina limited liability company (“THERAGENEX”).
