THIS AGREEMENT, dated as of September 12, 2006, is between ASHWORTH, INC., a Delaware corporation and its successors or assignees (“Ashworth”) and PETER M. WEIL, an individual (“Mr. Weil”).

This Agreement is effective as of September 12, 2006 (the “Effective Date”) and pertains to and confirms certain understandings regarding, and amends, that certain Second Amended and Restated Executive Employment Agreement dated February 28, 2006 (the “Employment Agreement”) between ASHWORTH, INC. (the “Company”) and RANDALL L. HERREL, SR. (“Herrel”) and Herrel’s continuing employment thereunder.
