This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned, Integrity Fund of Funds, Inc. (the "Fund"), an open-end, diversified, management investment company organized as a corporation under the laws of the State of North Dakota, has agreed that Integrity Funds Distributor, LLC, (f/k/a Integrity Funds Distributor, Inc.) ("Integrity"), shall be, for the period of this Agreement, the principal underwriter of shares issued by the Fund (the "Shares").
