This Award Agreement (this “Agreement”) governs the Stock Option Award, the Restricted Stock Unit Award, and/or the Performance Share Unit Award identified below (each, an “Award”, and collectively, the “Awards”) granted by GrafTech International Ltd. (“GrafTech”) on November 19, 2014 (the “Grant Date”) to _______________________ (the “Participant”) under the 2005 Equity Incentive Plan, as amended (the “Plan”), which is incorporated herein and made a part hereof. Terms not defined in this Agreement shall have the same meanings as in the Plan.
