This License Agreement (the “Agreement”) is made and entered into as of January 14, 2008 (the “Effective Date”), between Alfacell Corporation, a Delaware corporation with its principal place of business at 300 Atrium Drive, Somerset, New Jersey 08873 (“Alfacell”), and Par Pharmaceutical, Inc., a Delaware corporation with its principal place of business at 300 Tice Boulevard, Woodcliff Lake, New Jersey 07677 (“Par”). Alfacell and Par may be referred to herein individually as a “Party”, or together as the “Parties”.

This Supply Agreement (the “Agreement”) is dated January 14, 2008 by and between Alfacell Corporation, a Delaware corporation with its principal place of business at 300 Atrium Drive, Somerset, New Jersey 08873 (“Alfacell”), and Par Pharmaceutical, Inc., a Delaware corporation with its principal place of business at 300 Tice Blvd, Woodcliff Lake, NJ 07677, USA (“Par”). Alfacell and Par may be referred to herein individually as a “Party”, or together as the “Parties”. Capitalized terms not defined herein shall have the meanings ascribed to them in the License Agreement (as defined below).

This Purchase & Supply Agreement (this “Agreement”) is effective as of the 14th day of January, 2008 (the “Effective Date”) by and between Scientific Protein Laboratories LLC, a Delaware limited liability company having its principal place of business at 700 East Main Street, Waunakee, Wisconsin 53597, USA ("SPL") and Alfacell Corporation, a Delaware corporation with its principal place of business at 300 Atrium Drive, Somerset, New Jersey 08873 ("Alfacell").
