THIS AMENDED AND RESTATED LOAN AGREEMENT ("Agreement") is made and entered into as of the 3rd day of December, 2008, by and between SUPERTEL HOSPITALITY, INC., a Virginia corporation (the "Borrower"), whose address for purposes of this Agreement is 309 North 5th Street, Norfolk, Nebraska 68702 (Attn: Don Heimes) and GREAT WESTERN BANK, a South Dakota corporation (the "Bank"), whose address for purposes of this Agreement is 6015 Northwest Radial Highway, Omaha, Nebraska 68104 (Attn: Andrew Biehl).

This LOAN MODIFICATION AGREEMENT (the “Modification”) is entered into as of March 14, 2014, by and between the Lender(s), Borrower(s) and Guarantor(s) listed on the Loan Schedule referred to below. References in this Modification to “Lender,” “Borrower,” and “Guarantor” shall be construed to mean and refer to each such Lender, Borrower, and Guarantor, respectively.

THIS AMENDMENT TO MANAGEMENT AGREEMENT, made this 15th day of July, 2008, between TRS LEASING, INC., a Virginia corporation (hereinafter referred to as “OWNER”), and HLC Hotels, Inc., a corporation organized and existing under the laws of the State of Georgia (hereinafter referred to as “AGENT”), amends that certain Management Agreement dated the 16th of May, 2007, between Owner and Agent (herein the “Agreement”) that provides for the management and operation of 15 hotels.
