THE AGREEMENT was made and entered into as of April 18, 2008, and subsequently amended on December 31, 2008, by and between Callon Petroleum Company, a Delaware corporation (together with its subsidiaries, “Callon”) and Fred L. Callon, as the current President and Chief Executive Officer, (“Executive”). Callon and Executive may be referred to individually herein as “Party” and collectively as “Parties”. The Agreement is hereby being amended and restated in its entirety, without a gap or lapse in coverage, effective as of January 1, 2011 (the “Effective Date”).
