This Agreement is entered into as of this 1st day of July, 2002, between Parametric Technology Corporation, a Massachusetts corporation (the “Company”), and James E. Heppelmann (“Heppelmann”).

This Restated Amendment #8 to Consulting Agreement, dated as of December 31, 2002, hereby amends the terms of that certain Consulting Agreement dated November 17, 1995, as amended, (hereinafter “Consulting Agreement”) by and between Parametric Technology Corporation, a Massachusetts corporation, having its principal business address at 140 Kendrick Street, Needham, Massachusetts 02494 (hereinafter “PTC”) and Michael E. Porter, an individual currently residing at 44 Green Hill Road, Brookline, Massachusetts 02146 (hereinafter “Consultant”).
