This Amendment #7 to Consulting Agreement, dated as of May 16, 2001, hereby amends the terms of that certain Consulting Agreement dated November 17, 1995, as amended, (hereinafter "Consulting Agreement") by and between Parametric Technology Corporation, a Massachusetts corporation, having its principal business address at 140 Kendrick Street, Needham, Massachusetts 02494 (hereinafter "PTC") and Michael E. Porter, an individual currently residing at 44 Green Hill Road, Brookline, Massachusetts 02146 (hereinafter "Consultant").
