THIS NOTICE OF ASSIGNMENT AND ASSUMPTION, AND INDEMNITY AGREEMENT (this “Notice and Indemnity Agreement”) is entered into this _______ day of ___________, 2020 (the “Commencement Date”), by and among: (i) CFunds Life Settlement, LLC, a Delaware limited liability company (“Assignee”); and (ii) the Life Partners Position Holder Trust, a trust organized under the laws of the State of Texas (the “Trust”) and the Life Partners IRA Holder Partnership, LLC, a Texas limited liability company (the “Partnership” and together with the Trust, the “Successor Entities”).
