Lipson, Benchmark Plus Institutional Partners, L.L.C., Benchmark Plus Partners, L.L.C., Benchmark Plus Management, L.L.C., Scott Franzblau, Robert Ferguson, Neil Chelo, Matthew S. Crouse, Robert H. Daniels, Gregory R. Dube, Gerald Hellerman, Richard A. Rappaport, William J. Roberts and Robert A. Wood entered into a Joint Filing and Solicitation Agreement on May 5, 2009 (the “Agreement”) for the purpose of seeking representation on the Board of Directors of DWS Global Commodities Stock Fund, Inc., a Maryland corporation (the “Fund”);
