This Amendment No. 1 to the Amended and Restated Registration Rights Agreement ("Amendment"), dated as of August 28, 2014, amends that certain Amended and Restated Registration Rights Agreement, dated July 11, 2014 (the "Agreement"), by and among Star Bulk Carriers Corp., a Marshall Islands corporation (the "Company"), and the Persons party thereto. Unless otherwise indicated, capitalized terms used herein shall have the meanings ascribed to such terms in the Agreement.
