THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into by THE PANTRY, INC., a Delaware corporation (the “Corporation”) and Keith S. Bell (the “Employee”) and shall be effective as of January 10, 2012 (the “Effective Date”).
