Note: The following is the English translation set forth along side the German version of the Share Purchase and Assignment Agreement. The Agreement provides in Section 19(5) that the German version of the Agreement shall be the relevant version and that the English version serves as translation only. Barnes Group Inc. agrees to provide to the Securities and Exchange Commission a complete copy of the Agreement including both German and English versions, upon request.
