This Employment Agreement (“Agreement”) is hereby made between USA Technologies, Inc., a Pennsylvania corporation (“Company”), and R. Wayne Jackson (“Executive”). Each of Company and Executive is a “Party” to this Agreement, and collectively are the “Parties” to this Agreement.

This NON-QUALIFIED STOCK OPTION AGREEMENT (the “Agreement”) dated as of August 10, 2020 (the “Date of Grant”), is entered into by and between USA Technologies, Inc. (the “Company”) and R. Wayne Jackson (the “Original Grantee,” or together with any permitted assignee or transferee of this option under Section 9 hereof, the “Grantee”).
