The undersigned (the “Subscriber”) hereby irrevocably subscribes (the “Subscription”) for and agrees to purchase from Sky Petroleum, Inc. (the “Corporation”) Class A Units of the Corporation (the “Class A Units”) at a price of US$0.25 per Class A Unit, in the aggregate investment amount set forth in “Aggregate Subscription Amount” below. Each Class A Unit consists of one share of common stock of the Corporation, par value US$0.001 (a “Common Share”) and one Class A Warrant (each, a “Class A Warrant”).
