CREDIT AGREEMENT, dated as of January 28, 2002, among NUTRACEUTICAL INTERNATIONAL CORPORATION, a Delaware corporation ("Holdings"), NUTRACEUTICAL CORPORATION, a Delaware corporation (the "Borrower"), the lenders from time to time party hereto (each, a "Bank" and, collectively, the "Banks"), and COOPERATIEVE CENTRALE RAIFFEISEN-BOERENLEENBANK B.A., "RABOBANK INTERNATIONAL", NEW YORK BRANCH, as Administrative Agent (in such capacity, the "Administrative Agent").
