THIS AMENDED AND RESTATED STOCKHOLDERS AGREEMENT (the "Agreement"), is effective as of the 8th day of October 2001, and is entered into by and among (i) each of Apollo Investment Fund IV, L.P., a Delaware limited partnership, and Apollo Overseas Partners IV, L.P., an exempted limited partnership registered in the Cayman Islands acting through its general partner (individually and collectively with their Permitted Transferees (defined below), "Apollo"), (ii) J. Ernest Talley, an individual ("Talley"), (iii) Mark E.
