CREDIT AGREEMENT, dated as of July 18, 2001 among UNIVISION COMMUNICATIONS INC., a Delaware corporation (the "United States Borrower"), UNIVISION OF PUERTO RICO INC., a Delaware corporation (the "Puerto Rico Borrower"), the lenders from time to time party hereto (each, a "Lender" and, collectively, the "Lenders"), THE CHASE MANHATTAN BANK, as Administrative Agent (the "Administrative Agent"), and BNP PARIBAS, as Documentation Agent (the "Documentation Agent"). CONSENT AND FIFTH AMENDMENT TO CREDIT AGREEMENT, dated as of June 1, 2001 (this "Amendment") to the Credit Agreement, dated as of September 26, 1996 (the "Credit Agreement"), among Univision Communications Inc. (the "Borrower"), certain lenders party thereto (collectively, the "Lenders"), BNP Paribas (f/k/a Banque Paribas) and The Chase Manhattan Bank, as Managing Agents (collectively, the "Managing Agents"), and The Chase Manhattan Bank, as Administrative Agent (in such capacity, the "Administrative Agent").
