THIS FIRST AMENDMENT dated as of June 21, 2000 (this "Amendment") amends the Fourth Amended and Restated Credit Agreement dated as of August 2, 1999 (the "Credit Agreement") among BEMIS COMPANY, INC., various financial institutions and MORGAN GUARANTY TRUST COMPANY OF NEW YORK, as Agent.
