This Software Purchase Agreement (the "Agreement") is entered into as of this 3rd day of July, 2001, by and between Torchmark Holdings Ltd., a Turks and Caicos Islands corporation (the "Seller"), and Dicom Imaging Systems, Inc., a Nevada corporation (the "Buyer").
