This License And Research Agreement (the "Agreement") is made and entered into as of September 2, 1999, (the "Effective Date"), as amended and restated on March 26, 2001 (the "Restatement Date"), by and between Rigel Pharmaceuticals, Inc., a corporation organized under the laws of Delaware and having a principal place of business at 240 East Grand Avenue, South San Francisco, CA 94080 ("Rigel") and Cell Genesys, Inc., a corporation organized under the laws of Delaware and having a principal place of business at 342 Lakeside Drive, Foster City, CA 94404 ("CG"). Rigel and CG may be referred to collectively as the "Parties," or individually as a "Party."
