Reference is made to the Employment Agreement dated as of February 18, 1998 (the "Employment Agreement"), between you and Great Western Directories, Inc., a Texas corporation ("Great Western"). Great Western is a wholly-owned subsidiary of WorldPages.com, Inc. (the "Company"). This letter agreement supersedes the Employment Agreement and the Employment Agreement shall terminate and be of no further force and effect as of the date hereof. Accordingly, we are pleased to provide the terms for your continued service as Chairman of the Board of Directors (the "Board"), on the terms set forth below.
