The undersigned, Direct Focus, Inc., ("Employer"), by executing this Adoption Agreement, elects to become a participating Employer in the Deloitte & Touche LLP Defined Contribution Prototype Plan (basic plan document #01) by adopting the accompanying Plan and Trust in full as if the Employer were a signatory to that Agreement. The Employer makes the following elections granted under the provisions of the Prototype Plan.

Notwithstanding any provision of this Plan to the contrary, contributions, benefits and service credit with respect to qualified military service will be provided in accordance with Code §414(u). Loan repayments will be suspended under this Plan as permitted under Code §414(u)(4).
