This Amended and Restated Term Loan Agreement, dated as of July 25, 2014, is among Associated Estates Realty Corporation (the “Borrower”), PNC Bank, National Association, and the several banks, financial institutions and other entities from time to time parties to this Agreement (collectively, the “Lenders”), and PNC Bank, National Association, not individually, but as “Agent” or “Administrative Agent”.
