THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT, dated as of the 25th day of October, 2021 (the “Agreement”), is made by and between Casella Waste Systems, Inc., a Delaware corporation with an address of 25 Greens Hill Lane, Rutland, Vermont 05701 (“Company”), and Christopher B. Heald, an individual and a resident of Center Rutland, Vermont (“Employee”). This Agreement shall be effective on March 31, 2022 (the “Effective Date”), provided that Employee remains employed by Company as of the Effective Date. Until the Effective Date, the Employment Agreement between Company and Employee dated as of the 1st day of March, 2016 (the “Original Agreement”) will remain in full force and effect and continue to govern Employee’s employment with the Company.
